Wayseer end-user license

This license is between you and Wayseer LLC, a Utah limited liability company ("Wayseer", "we", "us"). It covers the Wayseer desktop app ("the software"): every release, its built-in modules, and the license keys that unlock parts of it. If you use the software for an organization, you accept this license for it, and "you" means the organization as well as you.
You accept this license when you tick the box at checkout, add a key to the software, or install or run it, whichever comes first. If you do not accept it, do not use the software. You must be 18, or the age of majority where you live, to buy a key.
Buying a key happens through Paddle, our reseller, under Paddle's buyer terms and the terms on wayseer.net. This license says what you may do with the software, whether you paid or not.
1. What you may do without a key
You may download the software, install it on as many machines as you like, and use its free parts for any purpose, commercial or not, at no charge. The free parts of a release are the ones the pricing page at wayseer.app/pricing lists as free when that release is built. A free part stays free in every release that includes it.
2. What a key adds, and who may use it
A license key unlocks the parts the pricing page lists as needing one, such as Kubernetes, SQL, modules from others, more than one window, and the integrations. Your license to use those parts is conditioned on keeping to the limits in this section. Use beyond them is not licensed.
- One key, one person. Each key is for one person at a time, chosen by the licensee. That person may use it on any number of their own machines. Two people may not use one key at the same time.
- Personal key. Sold only to an individual, never to an organization, and for that person's non-commercial use only. Non-commercial means not for an employer, a client or a customer, and not to earn money, directly or indirectly. Learning, a home lab, open-source work you are not paid for, and looking for a job are non-commercial. Any other use, freelance and contract work included, needs a business key.
- Business key. Issued to an organization, one for each person (seat) it pays for. The organization decides who holds each key and may move a key from one person to another, as long as one person holds it at a time. On request, no more than once a year, the organization will confirm in writing how many people hold its keys.
- Trial key. A business key for evaluation, which stops unlocking anything 30 days after it is issued, unless we extend it by issuing a new trial key. It is free, is not sold, and does not turn into a purchase. An organization may have a new trial once 6 calendar months have passed since its last trial ended. Asking sooner under different names or addresses breaks this license.
Keeping to these limits is up to you. The software currently checks a key only on your machine and reports nothing about it to us. We may change that at any time; a release that changes it says so in its release notes before it sends anything.
3. How long a key lasts
A paid key comes with a year of updates. Every release built during that year works with the key, and keeps working with it for good, even if you stop paying. A release built after the year needs a renewed key. The year is a right to use the releases built in it; we do not promise how many releases we build, or any particular feature.
A subscription renews automatically each year at the price then shown on the pricing page, until you cancel it. Between 30 and 60 days before each renewal, we email you its date, its total cost and how to cancel. Renewed keys, for the same licenses, are sent 15 days after the renewal charge, once the refund window has passed.
A key issued on other terms, agreed in writing by an officer of Wayseer LLC, follows those terms where they differ from this section.
The software decides by the date each release was built, never by your machine's clock. Pre-release builds may change or stop working at any time, and this section does not apply to them.
4. What you may not do
You may not:
- share, publish or sell a key, or use one issued to someone else without the licensee's leave;
- change, bypass or remove the key check, make a key that we did not issue, or help anyone else do so;
- sell, rent or redistribute the software, except by pointing people to
wayseer.app. An organization may copy the unchanged packages to its own internal mirror for its own people; - modify, reverse engineer, decompile or disassemble the software, except for security research as below, or as far as the law where you live allows it regardless of this license;
- use the software to break the law or to attack systems you are not allowed to reach.
Security research is welcome. You may analyze the software for security problems, including by reverse engineering, decompiling or disassembling it, as long as you work in good faith, on copies and systems you are allowed to use, and use no key that was not issued to you. Please tell us at hello@wayseer.net before you start and again when you finish, and give us a reasonable time to fix what you find before you publish it. Research done this way does not break section 4.
5. Modules
The software can run modules: built-in ones we make, and modules from others.
- Built-in modules, including the paid ones, stay available in every release a key covers.
- Modules from others are made by their publishers, not by us. We do not promise that they work, and their publishers' own licenses apply to them. Modules in the marketplace are built from public source and signed by us, which means we checked where they came from, not that we vouch for what they do.
- Writing your own. To run a module you write, you need a developer certificate from us, which we issue to holders of a license key, under its own terms. A certificate under a personal key is for your own non-commercial modules only. You may not use a certificate to sign code you did not write or do not have the right to publish.
- Withdrawing. We may withdraw a module from others, a developer certificate or a signing key for any reason we judge protects users, including a module that is harmful, unmaintained or destabilizes the software, or a key that is exposed. The software stops running what was withdrawn when it next fetches the list in section 6, or in a later release that includes it. We publish what we withdraw, and say why where we can.
6. What the software sends
The software currently sends no telemetry. Its one request of its own is a daily fetch of a public, signed list of withdrawn modules and new releases from wayseer.app. Every copy fetches the same file, with no identifier, and your config can turn the request off. Like any request, it reaches our host with your IP address; our privacy policy says how that is handled.
Everything else it reaches, it reaches because your config names it: your own data sources, modules you install, and, if you configure one, a language model provider. What you send to a provider is governed by your agreement with that provider, not by us.
7. Language models and actions
Answers from a language model you configure may be wrong or incomplete. The software can propose actions, such as restarting a service, and carries them out only after you confirm them; the decision to confirm is yours.
8. Ending
This license lasts until you or we end it. You may end it at any time by deleting the software.
If you get a refund for a key, or a payment for it is reversed, the license for that key ends: stop using the key. Releases built after that refuse it.
If you break this license, we may end it, withdraw its modules, and, as below, your certificate. For key sharing, getting around the key check, forged keys, or repeated trials, we may do so at once; for anything else, only if you do not put it right within 30 days of our telling you. If we end a license because you broke it, we refund no part of what you paid for it.
Modules you wrote. A module signed under your developer certificate runs only where your own key is active, so it follows your key:
- If you stop renewing, your modules keep running in every release your key covers, and in no later release, since a release your key doesn't cover runs no modules from others at all. Renewing brings them back; your certificate needs no change.
- If your license ends because of a refund, a reversed payment or a breach, we withdraw that license's modules: the software stops the modules signed under your certificate when it next fetches the list in section 6, or in a later release that includes the withdrawal. Releases built after that also refuse your key.
- Modules of yours that we built and signed for the marketplace keep running for other users, unless we withdraw your certificate. We do that only if your developer key is exposed, or for a breach serious enough to stop your marketplace modules too; then they stop for everyone.
When a license ends, sections 8 to 15 still apply.
9. Third-party parts
The software includes fonts, map data and libraries made by others. Each stays under its own license, which this one does not change. The software lists them and their notices under >license and wayseer --licenses.
10. No warranty
THE SOFTWARE IS PROVIDED "AS IS". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE. You are responsible for what you do with it, including the actions you confirm. We have no duty to provide support, though we try to answer at hello@wayseer.net.
11. Limit of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL LOSS, OR FOR LOST PROFITS, DATA OR BUSINESS, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ANYTHING ARISING FROM THE SOFTWARE IS LIMITED TO WHAT YOU PAID FOR YOUR LICENSE IN THE 12 MONTHS BEFORE THE CLAIM, OR US$50 IF YOU PAID NOTHING.
Some places do not allow the exclusion of implied warranties or of some kinds of loss, so parts of sections 10 and 11 may not apply to you.
12. Consumers
If you bought a personal key as a consumer, nothing in this license removes rights the law of your country gives you that cannot be waived, including rights about digital content that is faulty or not as described, and the right to bring a claim in your own courts. Where this license and those rights conflict, those rights win.
If you are a consumer in the European Union or the United Kingdom, you ask at checkout for your keys to be delivered at once, and agree that this ends your 14-day right of withdrawal once they are. Our own refund policy still applies: a full refund, for any reason, within 14 days of any charge.
13. Export and government use
You may not use or export the software where US export control or sanctions law forbids it, and you confirm you are not on a US restricted-party list. The software is commercial computer software under FAR 12.212 and DFARS 227.7202; government users get only the rights in this license.
14. Changes
We may publish a new version of this license, dated at the top. A release you already have stays under the version it shipped with. You accept a new version when you add a key to, or first run, a release that ships it. Anything that narrows what you may do is said at the top in plain words.
15. General
- Whole agreement. This license, the pricing page terms when you bought, and Paddle's buyer terms are the whole agreement. If they conflict, this license governs using the software, and Paddle's terms govern the payment.
- Severability. If a court finds part of this license unenforceable, the rest stands, and that part is enforced as far as it can be.
- Assignment. An organization may transfer its business keys to a successor that takes over its business. Otherwise keys and this license are not transferable. We may transfer this license to a successor to our business.
- Notices. We write to the email address Paddle holds for your purchase. You write to hello@wayseer.net.
- Feedback. If you send us suggestions, we may use them without owing you anything.
- Law. This license is governed by the law of the State of Utah, without regard to its conflict-of-law rules, and disputes go to the state and federal courts in Utah, unless the law where you live gives you a right to something else, in which case you keep it.
